Dealers in Securities license allows the company to trade in securities as a principal or as an agent. Seychelles Financial Services Authority is the body that regulates the licensing in Seychelles under the Securities Act 2007 and its Regulations. Therefore, the relevant Authority is able to issue the Dealers in Securities license either Unrestricted, Restricted and Exempt Overseas. Unrestricted means that license comes with no restrictions, while the restricted license can set limitations regarding clients (number of clients serviced, type of clients or value of client’s investment).

Company structure

  • Minimum 2 shareholders (no nationality restrictions for physical shareholders)
  • Minimum 2 resident directors (no nationality restrictions for physical shareholders)

 

Taxation 

  • No tax on income and dividends;
  • No capital gains and inheritance tax;
  • No exchange control restrictions;
  • Standard corporate tax rate of 15% is reduced to a net effective tax rate of 3%;
  • Free repatriation of profits, dividends and capital.

Accounting and Audit

  • A Securities Dealer is required to have its accounts audited annually by an auditor.
  • The applicant must put forward at the time of application, the designate auditor for approval by the authority.
  • The auditor can be from any jurisdiction as long as they meet the criteria as per the Act.

  • Every principal applicant (The designate Securities Dealer) must be accompanied by at least one authorized representative who must be an individual.
  • A director can apply to be an authorized representative as long as they meet the fit and proper criteria to act as an authorized representative.

Entity requirements

  • The entity making the application is a Seychelles Domestic company under the companies’ ordinance 1972 or its successor.

In order to obtain a license, the following steps will be carried out:

  • Collection of the information
  • Company incorporation
  • License Application preparation
  • Filing of the application
  • Procuring of office
  • License approval
  • Post License Compliance

  • Copy of the last annual/financial return
  • Apostilled Certificate of Good Standing

Additional Due diligence may be prescribed by Financial Services Commission*:

  • Original documents that proof of source of capital

All documentation shall be provided in English*

* Additional documents may be requested by the FSA or local Bank at any point to certify specific information

* If documents are not in English, then they must be accompanied by a notarized translation
